Intrusion Inc. has entered into a privately-negotiated exchange agreement with Streeterville Capital, LLC on May 30, 2024. Under the agreement, the company will exchange 339 shares of Series A Preferred Stock for 243,725 shares of common stock. The fair value of the exchange is determined to be $372,900.The exchange shares will be issued pursuant to Section 3(a)(9) of the Securities Act of 1933 exemption and delivered via DWAC to Streeterville's designated brokerage account. For Rule 144 purposes, the holding period of the exchange shares will include Streeterville's holding period of the Preferred Shares and prior promissory notes from March and June 2022.
