第五 修正案，

僱傭協議

本 僱傭協議第五次修正案（本"修正案"）於2023年12月28日簽訂，對Lantern Pharma Inc.之間的僱傭協議（定義見下文）進行了修正。(the”公司）和Kishor G.巴蒂亞（"執行人員"）. 本公司和執行人員在此可單獨稱為"聚會“或統稱為”各方.”

鑑於， 公司和行政人員已於2020年6月16日簽訂僱傭協議，並於2021年3月4日、2022年1月1日、2022年5月1日和2023年1月1日修訂（統稱為"僱傭協議”），其中公司正在聘用高管作為公司的首席科學官；以及

鑑於， 公司和高管希望修訂僱傭協議，以反映（i）自2024年1月1日起，僱傭協議項下的高管年度税前基本工資水平 增加至316，000美元；以及（ii）僱傭協議項下的目標合格 年度獎金水平百分比增加至高管適用基本工資的40%。

因此，考慮到本協議中規定的共同契約以及其他合法和有價值的考慮，雙方商定 如下：

“基本工資。公司應向管理人員支付初始税前基本工資（"初始基薪"）每年100，000美元（十萬美元），扣除所有適用的預扣税，該初始基本工資將根據公司的標準工資制度支付。從2021年3月4日開始，初始基本工資將增加到133，333美元（一百三十三千三百三十三美元），扣除所有適用的預扣税款，根據公司關於支付期的標準工資慣例，（或其適用 部分）在本協議期限內發生於2021年3月4日或之後且在2022年1月1日之前發生。從2022年1月1日開始，初始基本工資應增加至每年138，666.32美元（十三萬八千六百六十六美元 又三十二美分），扣除所有適用的預扣税，並增加了初始基本工資（"調整後的基本工資 ”) to be paid in accordance with the Company’s standard payroll practices with respect to pay periods (or applicable portions thereof) during the Term of this Agreement that occur on or after January 1, 2022 and prior to May 1, 2022. Commencing May 1, 2022, the Adjusted Base Salary shall be increased to $175,000.00 (One Hundred Seventy Five Thousand U.S. Dollars) per annum, less all applicable withholdings, with such increased Adjusted Base Salary to be paid in accordance with the Company’s standard payroll practices with respect to pay periods (or applicable portions thereof) during the Term of this Agreement that occur on or after May 1, 2022 and prior to January 1, 2023. Commencing January 1, 2023, the Adjusted Base Salary shall be increased to $235,000.00 (Two Hundred Thirty Five Thousand U.S. Dollars) per annum, less all applicable withholdings, with such increased Adjusted Base Salary to be paid in accordance with the Company’s standard payroll practices with respect to pay periods (or applicable portions thereof) during the Term of this Agreement that occur on or after January 1, 2023 and prior to January 1, 2024. Commencing January 1, 2024, the Adjusted Base Salary shall be increased to $316,000.00 (Three Hundred Sixteen Thousand U.S. Dollars) per annum, less all applicable withholdings, with such increased Adjusted Base Salary to be paid in accordance with the Company’s standard payroll practices with respect to pay periods (or applicable portions thereof) during the Term of this Agreement that occur on or after January 1, 2024.”

"高管 將有資格獲得年度績效現金獎金，獎金數額最高為高管適用基本工資 的40%（百分之四十），該獎金所涉及的年度期間。"

特此證明，雙方已簽署本修正案，自2023年12月28日起生效。
