A.首席會計師費用

公司治理
《紐約證券交易所上市公司手冊》在公司治理要求中包括了某些便利，允許外國私人發行人，如Lion，遵循“母國”公司治理實踐，而不是紐約證券交易所其他適用的公司治理標準。這種例外的應用要求Lion披露其公司治理做法與紐約證券交易所上市公司手冊不同的任何重大方面，而這些方面它沒有遵循。Lion不時打算遵循加拿大的公司治理做法，包括某些獨立標準以及董事會委員會的組成。截至本文發佈之日，萊昂證券遵循了加拿大的公司治理做法，即紐約證券交易所上市公司手冊中關於薪酬委員會只能由獨立董事組成的要求，以及紐約證券交易所上市公司手冊中關於董事被提名人必須由完全由獨立董事組成的提名委員會挑選或推薦供選擇的要求。
如果Lion在任何時候不再是外國私人發行人，Lion將採取一切必要行動，以遵守證監會和紐約證券交易所的規定，包括設立完全由獨立董事組成的薪酬和提名委員會，但須遵守允許的“分階段”期限。
《紐約證券交易所上市公司手冊》一般要求上市公司的章程規定，公司有表決權股份的持有人的任何會議的法定人數必須足夠高，以確保代表投票。根據紐約證券交易所上市公司手冊，Lion作為一家外國私人發行人，已選擇遵守加拿大證券法允許的做法，而不是紐約證券交易所的規定。獅子座附例規定，法定人數為至少兩名親身出席或由受委代表出席的股東，他們合共持有有權在大會上投票的獅子座流通股不少於25%的投票權。未來，Lion可能會決定在紐約證券交易所上市公司手冊的其他規則方面依賴其他外國私人發行人的豁免。與適用於在紐約證券交易所上市的公司的要求相反，按照Lion的母國治理做法，可能提供的保護比適用於美國國內發行人的紐約證券交易所上市公司手冊規則給予投資者的保護要少。

A.承諾
登記人承諾親自或通過電話讓代表對委員會工作人員提出的詢問作出答覆，並在委員會工作人員提出要求時迅速提供以下方面的資料：根據表格40-F登記的證券；產生提交表格40-F年度報告義務的證券；或上述證券的交易。
B.同意送達法律程序文件
註冊人此前已提交了一份與提交本報告的義務有關的證券類別的F-X表格。
