可接受的服務包括財務報表審計和審查、招股説明書工作、養老金計劃審計、控制程序專項審計、併購活動的税務籌劃服務、與併購相關的盡職調查、與轉讓定價相關的税務服務、銷售税籌劃和申報、與税收有關的研究和解釋、與會計問題有關的研究、税務籌劃服務、納税申報準備，以及所有其他不被禁止的服務。

被禁止的服務是簿記服務、財務信息系統的設計和實施、評估或估值服務或公平意見、精算服務、內部審計服務、管理職能、人力資源職能、經紀自營商服務、法律服務、基於或有費用的服務以及專家服務。

治理程序

在考慮是否保留外聘審計師服務時，適用以下控制程序：

對於屬於許可服務類別的所有服務，無論是審計服務還是非審計服務，在聘用審計師提供服務之前，必須通過執行副總裁兼首席財務官向審計和風險管理委員會提交批准請求。

為提高效率，某些許可的服務每季度由審計和風險管理委員會預先批准，此後只需獲得執行副總裁和首席財務官的批准，如下所示：

•審計和風險管理委員會可以按季度預先批准某些服務的信封，使其達到預先確定的美元限額；

•一旦獲得審計和風險管理委員會的預先批准，執行副總裁和首席財務官可以在聘用前批准這些服務；

•對於不在預先批准的信封範圍內的服務，以及超出預先批准的金額的費用，必須單獨向審計和風險管理委員會提交批准請求；以及

•在審計和風險管理委員會的每次季度會議上，都會按服務類型提交所有費用的綜合彙總，包括每個預先批准的信封內發生的費用細目。

道德守則

除了適用於註冊人所有僱員、高級職員和董事的“道德和商業行為守則”(包含CGI反腐敗政策)外，註冊人還通過了專門適用於註冊人主要行政人員和財務人員(包括董事會創辦人和執行主席、總裁兼首席執行官、執行副總裁兼首席財務官、首席會計官或控制人或其他執行類似職能的人員(統稱為“高級人員”)的執行行為準則)，並制定了適用於註冊人主要行政人員和財務人員(包括董事會創辦人和執行主席、總裁兼首席執行官、執行副總裁兼首席財務官、首席會計官或控制人或其他執行類似職能的人員，統稱為“高級人員”)的“執行行為守則”。《執行行為守則》旨在阻止不當行為，並促進：

•誠實和道德的行為，包括合乎道德地處理個人和職業關係之間的實際或明顯的利益衝突；

註冊人的執行行為準則及其道德和商業行為準則(包含CGI反腐敗政策)可在註冊人網站www.cgi.com上查閲。

董事會監督執行行為準則和道德和商業行為準則(包含CGI反腐敗政策)的遵守情況，並根據其章程，負責對授予董事或高級管理人員的任何豁免條款負責。到目前為止，還沒有批准這樣的豁免。

公司治理慣例

註冊人的公司治理實踐符合美國國內公司根據紐約證券交易所上市標準。

表外安排

登記人通常不進行表外融資，但使用辦公空間、計算機設備和車輛的經營租賃除外，這些租賃都不是一般指示B第(11)款所指的表外安排，以形成40-F表。

如註冊人經審核年度綜合財務報表附註30所披露，註冊人於正常業務過程中訂立協議，就諮詢及外包服務、業務剝離、租賃協議及財務責任等交易對手提供賠償及擔保。這些賠償承諾和擔保可能要求註冊人賠償因各種事件造成的費用和損失，這些事件包括違反陳述和保證、侵犯知識產權、提供服務時可能產生的索賠或交易對手可能遭受的訴訟。大多數賠償承諾的性質使登記人無法對登記人可能被要求向交易對手支付的最高潛在金額做出合理估計，因為協議沒有具體規定最高金額，而且金額取決於未來或有事件的結果，而未來或有事件的性質和可能性目前無法確定。
