附錄 10.1

第七 修正案專屬許可協議

本 第七修正案專屬許可協議（本“修訂”）自2023年11月1日起生效（“修訂日期”），由位於羅德島的Elkurt, Inc.與地址爲297 President Ave, Providence RI 02906的公司之間簽訂（“Elkurt）和Ocean Biomedical Inc.，一家位於19W060 Avenue LaTours, Oak Brook，IL 60523的特拉華州公司（“被許可方”).

1. 獨佔許可協議，副標題爲「BROWN ID 2465, 2576, 2587 (FRG) 抗體」，自2020年7月31日起生效，經過2021年3月21日生效的獨佔許可協議首次修正案、2021年8月31日生效的獨佔許可協議第二次修正案、2022年3月25日生效的獨佔許可協議第三次修正案，以及2022年7月1日生效的獨佔許可協議第四次修正案、2022年7月2日生效的獨佔許可協議第五次修正案、2022年8月25日生效的獨佔許可協議第六次修正案（經修正後，“許可1”);

2. 獨佔許可協議，副標題爲「BROWN ID 3039 - 生物特異性抗體抗CTLA4」，自2020年7月31日起生效，經過2021年3月21日生效的獨佔許可協議首次修正案、2021年8月31日生效的獨佔許可協議第二次修正案、2022年3月25日生效的獨佔許可協議第三次修正案，以及2022年7月1日生效的獨佔許可協議第四次修正案、2022年7月2日生效的獨佔許可協議第五次修正案、2022年8月25日生效的獨佔許可協議第六次修正案（經修正後，許可2”);

3. Exclusive License Agreement, subtitled, 「BROWN ID 2502 - (Chit1) Small Molecule Antifibrotic」 effective as of July 31, 2020, as amended by the First Amendment to Exclusive License Agreement effective as of March 21, 2021, and the Second Amendment to Exclusive License Agreement effective as of August 31, 2021, and the Third Amendment to Exclusive License Agreement effective as of March 25, 2022, and the Fourth Amendment to Exclusive License Agreement, effective as of July 1, 2022, the Fifth Amendment to Exclusive License Agreement, effective as of July 2, 2022, and the Sixth Amendment to Exclusive License Agreement, effective as of August 25, 2022 (as so amended, the “License 3”); 且

4. Exclusive License Agreement, subtitled, 「BROWN ID 2613 Bispecific (FRG)xAnti-PD-1 (FRGxPD-1)」 effective as of July 31, 2020, as amended by the First Amendment to Exclusive License Agreement effective as of March 21, 2021, and the Second Amendment to Exclusive License Agreement effective as of August 31, 2021, and the Third Amendment to Exclusive License Agreement effective as of March 25, 2022, and the Fourth Amendment to Exclusive License Agreement, effective as of July 1, 2022, the Fifth Amendment to Exclusive License Agreement, effective as of July 2, 2022, and the Sixth Amendment to Exclusive License Agreement, effective as of August 25, 2022 (as so amended, the “License 4”).

現在， 因此Elkurt和許可方在前述前提及相互承諾的基礎上，意圖在法律上受約束，特此協議如下：

1 關於附錄b，每份Elkurt許可的開發和商業化計劃，每份四份Elkurt許可中所示的日期特此延長，以便在本修正案中修改後，每份Elkurt許可的附錄b中的日期特此如本修正案的附件1所列示。

2 Brown已向Elkurt提供了附件2中列出的發票，而Elkurt已向許可方提供了總計$34,639.88（「發票專利費用」）的發票。許可方同意按以下方式支付這些發票專利費用：

3 每份Elkurt許可的第4.1.2節特此修訂，刪除日期"2023年11月1日"並替換爲日期"2024年5月1日。"

4 每個Elkurt許可證的第10.2.2.4節通過刪除日期「2023年11月1日」並插入日期「2024年5月1日」而在此修訂。

5 在被許可方按照第10.2.2.4節籌集至少一千萬美元（$10,000,000）股權融資後的30天內，許可方應直接向Brown支付$50,000，該金額將會用於每個Elkurt許可證的第4.2節中說明的許可證維護費用，在四個Elkurt許可證中平均分配； 提供的但前述內容並不限制或以其他方式修改許可方根據Elkurt許可證的條款支付許可證維護費用的全部義務。

6 許可方將向Elkurt和Brown提供文件材料，以證明許可方已籌集的股權融資金額，以履行許可方籌集$10,000,000股權融資的義務。

7 根據本修正案修訂後的所有Elkurt許可證的條款仍然有效，並在此得到確認和認可。對每個Elkurt許可證的所有引用，無論何時、何地或以何種方式進行的，均應被視爲對此修正案修訂後的Elkurt許可證的引用。Elkurt許可證的第12.6節（關於適用法律和管轄權）在此通過引用納入併成爲本修正案的一部分，並應在所有方面約束本修正案。本修正案可以分開簽署，每份均應被視爲原創，並且所有份在一起時，應構成同一文書。簽署方可以通過電子方式和簽名執行本修正案，副本也應被視爲原創。本修正案構成各方就此事項的完整理解，除非所有相關方書面簽署，否則本修正案不得修改。
