股票激勵計劃。 Beginning in 2025, Employee will be entitled to participate in the Company’s stock incentive plan to the extent applicable to Employee’s position. Employee is eligible to receive a 2025 target equity award with a grant date value of $1,900,000, which will consist of 45% time-based
restricted stock units (「RSUs」) and 55% performance-based restricted stock units (「PSUs」) under the relevant MKS equity plan. RSUs typically vest in three equal annual installments beginning on the first anniversary of the grant date, subject to Employee’s continued employment. PSUs tied to Adjusted EBITDA typically vest, subject to the achievement of the relevant financial performance criteria, in three equal annual installments, beginning on the first anniversary of the grant date, subject to Employee’s continued employment. PSUs tied to relative total shareholder return typically vest, subject to the achievement of the relevant performance criteria, in full on the third anniversary of the grant date, subject to Employee’s continued employment. Actual annual equity awards may vary and will be subject to the terms and conditions of the relevant Company equity plan and contingent upon MKS Compensation Committee approval.
(d)
福利。 Employee will be eligible to participate in the Company’s generally available employee benefit plans, which currently include medical, dental, vision, life, accidental death and dismemberment, short-term disability and long-term disability insurance, a 401(k) savings plan and an employee stock purchase plan, subject to the terms and conditions of each plan.
(e)
Paid Time Off. Employee will be eligible for 25 days of paid vacation per year, plus paid sick time and holidays, all subject to the terms and conditions of the Company’s policies.
(f)
費用。 The Company will reimburse Employee for expenses Employee reasonably incurs in performing his or her duties, to the extent provided in the Company’s expense reimbursement policies. Reimbursement of expenses in one tax year will not affect reimbursement of expenses in any other tax year.
「Enhanced Severance Compensation.」 If Employee becomes eligible for the Enhanced Severance Compensation:

Additionally, Employee will receive a payment for target bonus, prorated for the current year.
