轉讓和假設協議
本任務和假設協議（以下簡稱「協議」）於2024年3月29日（以下簡稱「生效日期」）由Zimmer Biomet Spine, LLC（以下簡稱「ZBS」）和ZimVie Inc.（以下簡稱「ZimVie」）之間簽署。
鑑於ZimVie已經達成協議，將其脊柱和骨骼癒合部門出售給HIG Capital的一個關聯公司；
鑑於 以下高管分別與ZBS簽署並履行了公司高管保密、非競爭和非招攬協議（以下簡稱「限制性契約協議」），其表格存檔在美國證券交易委員會（以下簡稱「SEC」）：Vafa Jamali、Richard Heppenstall、Indraneel Kanaglekar、Heather Kidwell、Stephen Rondeau和Ann Vu（以下簡稱「高管」）。
鑑於根據限制性約定協議，高管受制於某些限制性契約，可能由ZBS及其關聯公司、繼承人和受讓方執行；
鑑於根據限制性約定協議第16段的規定，ZBS特此將其在限制性約定協議下的權利和利益轉讓給ZimVie。
現在，因此考慮到本協議中規定的條款和條件，特此確認收到並認爲足夠，各方同意如下：
1.
轉讓和承擔ZBS特此將其在限制性約定協議中的權利和利益轉讓給ZimVie。ZimVie特此接受該轉讓，並承擔ZBS在限制性約定協議下的所有權利.
2.
聯合執行. The purpose of this Agreement is to give ZimVie an independent right to enforce the Restrictive Covenant Agreements. If it is later determined that the assignment is unenforceable, then the party that can enforce the Restrictive Covenant Agreements agrees that it will do so at the request of the other party or any successor or assignee of the other party, and the requesting party shall pay all costs, including attorneys’ fees, associated with any enforcement action.
3.
適用法律. This Agreement shall be governed by and construed in accordance with the laws of the state of Delaware without giving effect to any choice or conflict of law provision or rule thereof.
4.
相關方. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall be deemed to be one and the same agreement. A signed copy of this Agreement delivered by facsimile, email or other means of electronic transmission shall be deemed to have the same legal effect as delivery of an original signed copy of this Agreement.
5.
進一步保證. Each of the parties hereto shall execute and deliver, at the reasonable request of the other party hereto, such additional documents, instruments, conveyances and assurances and take such further actions as such other party may reasonably request to carry out the provisions hereof and give effect to the transactions contemplated by this Agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement to be effective as of 2024年3月29日。
