Due to changes in the company's control, Mr. Tang Jun applied to resign as chairman of the 8th board of directors of the company, and also applied to resign as chairman of the 8th board of directors strategy committee and nomination and remuneration assessment committee; Mr. Zhang Dijiang applied to resign as a director of the 8th board of directors, and also applied to resign as a member of the 8th board of directors strategy committee and audit committee member; and Mr. Yang Ning applied for personal reasons to resign as director of the 8th board of directors of the company.
As of the date of this announcement, Mr. Tang Jun held 58,400 shares of the company's shares, of which 43,800 shares were locked in by senior executives. Mr. Tang Jun confirmed that there was no disagreement with the company's board of directors. After resigning, Mr. Tang Jun will not hold any position in the company; Mr. Zhang Dijiang does not hold shares in the company, and Mr. Zhang Dijiang confirmed that he has no objection to the company's board of directors. Since the resignations of Mr. Tang Jun, Mr. Zhang Dijiang, and Mr. Yang Ning will cause the number of the company's board of directors to fall below the minimum number required by law, in order to ensure the normal operation of the board of directors, the resignation applications of Mr. Tang Jun, Mr. Zhang Dijiang, and Mr. Yang Ning will take effect after the company's shareholders' meeting elects a new director and chairman takes office. During this period, Mr. Tang Jun, Mr. Zhang Dijiang, and Mr. Yang Ning will continue to perform their duties as company directors in accordance with relevant regulations such as laws, administrative regulations, departmental regulations, and the “Articles of Association”.
The board of supervisors of the company received the resignation of the supervisor Mr. Fu Haiying on May 18, 2020. Mr. Fu Haiying applied to resign as a non-employee representative supervisor of the 8th board of supervisors of the company due to changes in the company's control. Mr. Fu Haiying does not hold shares in the company, and Mr. Fu Haiying confirmed that he did not disagree with the company's board of supervisors. After resigning, Mr. Fu Haiying will not hold any position in the company.
Since Mr. Fu Haiying's resignation will cause the number of the company's board of supervisors to fall below the minimum required number, in order to ensure the normal operation of the board of supervisors, Mr. Fu Haiying's resignation application will take effect after the company's shareholders' meeting elects a new supervisor to take office.
According to the announcement, today the company received the “Notice on Requesting Additional Provisional Proposals for the 2019 Annual General Meeting of Shareholders of Sunshine Xinye Real Estate Co., Ltd.” from Tokyoji Group Co., Ltd., the holding shareholder submitted a resolution to add relevant directors and supervisory candidates to the 2019 Annual General Meeting of Shareholders scheduled to be held on May 29, 2020.
