Toyota Tsusho Corporation (hereinafter referred to as Toyota Tsusho) has concluded an investment contract to underwrite a third-party allocation of shares from Fujihatsu Co., Ltd. (hereinafter referred to as Fujihatsu), acquiring 34% of the Stocks.
As a result, Fujihatsu will become an equity-method affiliate of Toyota Tsusho as of June 30.

1. Background of Investment

Fujihatsu primarily designs and manufactures precision components and molds, holding one of the top Shares in Japan for the manufacturing of battery Cell Cases and Cell Covers for Autos. Toyoda Gosei positions its battery-related Business as a pillar for next-generation growth, and in July 2023, the two companies established FUJIHATSU & TOYOTSU Battery Components, North Carolina LLC (hereafter: FTBC) through a local subsidiary in the United States to manufacture and sell battery Cell Cases and Cell Covers, advancing collaboration in the Battery field.

2. Purpose of Investment

This investment in Fujihatsu aims to deepen the collaboration between the two companies to flexibly respond to the diversifying needs of electric vehicles and strengthen the battery supply chain.
In the US FTBC project currently being advanced by both companies, further strengthening of the manufacturing system will take place, and we will respond to the needs for automotive Batteries by expanding production scale and product lineup. In the future, in Japan, we will leverage the functions of Toyota Tsusho as a trading company to deepen collaboration in manufacturing, procurement, and sales of automotive battery components with Fujihatsu.
In the future, both companies will utilize the manufacturing know-how and technology cultivated through FTBC and domestically, as well as Toyota Tsusho's Global network, aiming to expand manufacturing bases to new regions at home and abroad.
Through investment in Fujihatsu, Toyota Tsusho will contribute to the stable supply of Cell Cases and Cell Covers, which are essential for the spread of electric vehicles, as well as contributing to the strengthening of the Battery supply chain globally.
※1 The transfer of Stocks is subject to the completion of the procedures stipulated in the Act on Prohibition of Private Monopolization and Maintenance of Fair Trade (Antimonopoly Act), and it is planned to be implemented after the completion of these procedures.
Note 2: Cell Cases are exterior parts that protect the Cells of automotive Batteries and prevent influence from external environments. Cell Covers seal the openings of the Cells and protect the internal structure.
