According to Zhichuang Finance APP, Sichuan Road & Bridge Group (600039.SH) announced that both Sichuan Shudao Mining Group Co., Ltd. (referred to as Mining Group) and Sichuan Road & Bridge Mining Investment Development Co., Ltd. (referred to as Road & Bridge Mining) are subsidiaries of the company. Among them, the company holds 80% of the shares of Mining Group, and the company's wholly-owned subsidiary Sichuan Highway Bridge Construction Group Co., Ltd. (referred to as Road & Bridge Group) holds 20% of the shares of Mining Group; Road & Bridge Group holds 60% of the equity in Road & Bridge Mining, and the company’s controlling shareholder Shudao Investment Group Co., Ltd. (referred to as Shudao Group) holds 40% of the equity in Road & Bridge Mining.
Road & Bridge Group intends to transfer its 20% shareholdings in the Mining Group to Shudao Group at a price of 651.2606 million yuan through a private agreement. Shudao Group will contribute 714.3181 million yuan for its 40% equity in Road & Bridge Mining and 2541.985 million yuan in mmf, totaling 3256.3031 million yuan to increase its capital in Mining Group, of which 3000 million yuan will be credited to the registered capital of Mining Group, and 256.3031 million yuan will be credited to the capital reserve. Upon completion of the capital increase, Road & Bridge Group will then transfer its 20% equity in Road & Bridge Mining to Mining Group for 357.1591 million yuan through a private agreement.
After the completion of the above transaction, the registered capital of Mining Group will increase from 3000 million yuan to 6000 million yuan, with Shudao Group and the company holding 60% and 40% respectively, making Shudao Group the controlling shareholder of Mining Group; additionally, the equity structure of Road & Bridge Mining will change to 60% held by Mining Group and 40% held by Road & Bridge Group. The company will no longer include Mining Group and Road & Bridge Mining in its consolidated financial statement.
