RBC Bearings Insiders Sell US$1.6m Of Stock, Possibly Signalling Caution

RBC Bearings Insiders Sell US$1.6m Of Stock, Possibly Signalling Caution

Over the past year, many RBC Bearings Incorporated (NYSE:RBC) insiders sold a significant stake in the company which may have piqued investors' interest. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At RBC Bearings

RBC Bearings

Over the last year, we can see that the biggest insider sale was by the Independent Director, Edward Stewart, for US$832k worth of shares, at about US$277 per share. That means that an insider was selling shares at slightly below the current price (US$335). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was only 13% of Edward Stewart's holding.

Insiders At RBC Bearings Have Sold Stock Recently

The last three months saw significant insider selling at RBC Bearings. In total, VP, General Counsel & Secretary John Feeney dumped US$103k worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Insider Ownership Of RBC Bearings

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that RBC Bearings insiders own 1.7% of the company, worth about US$178m. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
