President Frederic Lissalde Sold A Bunch Of Shares In BorgWarner
Some BorgWarner Inc. (NYSE:BWA) shareholders may be a little concerned to see that the President, Frederic Lissalde, recently sold a substantial US$5.3m worth of stock at a price of US$34.61 per share. That sale reduced their total holding by 37% which is hardly insignificant, but far from the worst we've seen.

In fact, the recent sale by President Frederic Lissalde was not their only sale of BorgWarner shares this year. They previously made an even bigger sale of -US$7.0m worth of shares at a price of US$31.08 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$34.43. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 33% of Frederic Lissalde's stake.

Insider Ownership Of BorgWarner
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. It appears that BorgWarner insiders own 0.9% of the company, worth about US$66m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
