Rambus Insiders Sold US$1.8m Of Shares Suggesting Hesitancy
Rambus Insiders Sold US$1.8m Of Shares Suggesting Hesitancy
Over the past year, many Rambus Inc. (NASDAQ:RMBS) insiders sold a significant stake in the company which may have piqued investors' interest. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.
While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.
Rambus Insider Transactions Over The Last Year
In the last twelve months, the biggest single sale by an insider was when the Independent Director, Eric Stang, sold US$643k worth of shares at a price of US$56.95 per share. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$44.80. So it may not tell us anything about how insiders feel about the current share price.

Insider Ownership
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. A high insider ownership often makes company leadership more mindful of shareholder interests. It appears that Rambus insiders own 0.6% of the company, worth about US$26m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
