Johnson Holdings (01955.HK) announced that on September 25, its wholly-owned subsidiary Johnson, as the buyer, entered into a total of 36 vehicle purchase agreements with 4 wholly-owned subsidiaries of Manshing Global (08309.HK). Accordingly, Johnson will acquire transport vehicles intended for providing cleaning services at a total price of 7.496 million yuan.
The trading agreement constitutes a disclosable transaction and must comply with the reporting and announcement requirements under the listing rules. However, due to inadvertence, the company failed to timely notify and announce the vehicle purchase agreements. To prevent similar incidents, the company will take remedial measures to strengthen the group's reporting system and internal monitoring procedures. These measures include reviewing, enhancing, and continuing to monitor relevant internal control measures of the group; distributing internal memoranda to directors, senior management, accountants, business, and finance personnel to remind them to comply with the responsibilities under the listing rules before executing any vehicle purchase agreements; arranging training for directors, senior management, and accounting, business, and finance personnel on regulatory and compliance matters under the listing rules; and seeking advice from legal advisors as needed.
