Multiple Insiders Sold Grid Dynamics Holdings Shares Presenting Weak Signs For Investors

Simply Wall St ·  Sep 11 01:29

A number of Grid Dynamics Holdings, Inc. (NASDAQ:GDYN) insiders sold their shares in the last year, which may have raised concerns among investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

Grid Dynamics Holdings Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the Independent Chairman, Lloyd Carney, for US$214k worth of shares, at about US$11.61 per share. That means that even when the share price was below the current price of US$14.23, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 1.7% of Lloyd Carney's stake.

In the last year Grid Dynamics Holdings insiders didn't buy any company stock. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Insider Ownership Of Grid Dynamics Holdings

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Insiders own 6.8% of Grid Dynamics Holdings shares, worth about US$74m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
