Suzhou Anjie Technology Co., Ltd. (hereinafter referred to as "Anjie Technology"), a joint venture company, plans to cancel the capital increase of Anjie Technology.

In September 2023, the company signed the "Capital Increase Agreement of Suzhou Anjie Technology Co., Ltd." (hereinafter referred to as the "original agreement") with Suzhou Anjie Technology Co., Ltd. and Jiangsu Sidike New Materials Science & Technology Co., Ltd. According to the original agreement, Sidike and Anjie Technology each increased their capital by 26 million yuan, in proportion to their shareholdings in Anjie Technology. Sidike increased its capital by 11.7 million yuan, accounting for 45% of the shareholding, while Anjie Technology increased its capital by 14.3 million yuan, accounting for 55% of the shareholding. After the capital increase, the registered capital of Anjie Technology increased from 24 million yuan to 50 million yuan.

Considering the current market situation, Sidike, Anjie Technology, and Anjie Technology have friendly consultations and have adjusted the capital increase for Anjie Technology. They have re-signed the "Capital Increase Agreement of Suzhou Anjie Technology Co., Ltd. (Part 1)" (hereinafter referred to as "Agreement 1"). The original agreement will terminate from the date of signing Agreement 1, and the parties to the agreement will no longer perform it and will not hold each other liable for breach of contract. In this capital increase, Anjie Technology will independently increase its capital by 14 million yuan, and Sidike, as a shareholder of Anjie Technology, voluntarily waives its right to participate in this capital increase, including the right of first refusal and other related rights. After this capital increase, the registered capital of Anjie Technology will increase from 24 million yuan to 38 million yuan. Sidike's shareholding in Anjie Technology will decrease from 45.0000% to 28.4211%, while Anjie Technology's shareholding in Anjie Technology will increase from 55.0000% to 71.5789%.
