Possible Bearish Signals With Yelp Insiders Disposing Stock

Possible Bearish Signals With Yelp Insiders Disposing Stock

Yelp
Simply Wall St ·  08/24 20:57

Many Yelp Inc. (NYSE:YELP) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

Yelp Insider Transactions Over The Last Year

The Chief People Officer, Carmen Amara, made the biggest insider sale in the last 12 months. That single transaction was for US$569k worth of shares at a price of US$38.00 each. So we know that an insider sold shares at around the present share price of US$34.96. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Insider Ownership Of Yelp

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. Insiders own 2.3% of Yelp shares, worth about US$52m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
