Intelligence Financial News App, Millennium PG (08147) announced that the company intends to issue convertible bonds with a total principal amount of HKD 6.8 million to the subscriber (Terri Investment Co., Ltd.) on August 9, 2024. The bonds will be translated into shares at a preliminary conversion price of HKD 0.34 per share (adjustable), and a total of 20 million shares of convertible shares will be issued, equivalent to approximately 13.95% of the company's existing issued share capital and approximately 12.24% of the company's issued share capital after the issuance of convertible shares. The total and net proceeds from the subscription will be HKD 6.8 million and approximately HKD 6.8 million, respectively. The Group intends to use the net proceeds from the issuance of convertible bonds for general operating capital.

After all convertible bonds at a preliminary conversion price of HKD 0.34 (adjustable) per share are converted, a total of 20 million shares of convertible shares will be issued, equivalent to approximately 13.95% of the company's existing issued share capital and approximately 12.24% of the company's issued share capital after the issuance of convertible shares.
