On June 12, 2024, Uni Health (02211.HK) announced that it had entered into a subscription agreement with a subscriber as the issuer. Based on this, the subscriber has agreed to subscribe subject to conditions and the company has agreed to issue and distribute a total of 133,509,926 subscription shares for a cash consideration of approximately HKD 10.7 million at HKD 0.08 per share.

The subscription shares under the subscription agreement are equivalent to approximately 20.00% of the company's existing issued share capital on the date of the announcement. The subscription price of HKD 0.08 per share is based on the closing price of each share reported on the Stock Exchange of Hong Kong on June 12, 2024 (the date of the subscription agreement). Assuming full subscription of the subscription shares, the expected total proceeds from the subscription will be approximately HKD 10.7 million. The net proceeds from the subscription (after deducting all relevant expenses) are estimated to be approximately HKD 10.2 million, equivalent to a net price per subscription share of approximately HKD 0.076. The company intends to use the net proceeds for general working capital of the group.
