Possible Bearish Signals With EMCOR Group Insiders Disposing Stock

Possible Bearish Signals With EMCOR Group Insiders Disposing Stock

EMCOR Group
Simply Wall St ·  06/04 00:31

In the last year, many EMCOR Group, Inc. (NYSE:EME) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While insider transactions are not the most important thing when it comes to long-term investing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At EMCOR Group

EMCOR Group

The insider, R. Matz, made the biggest insider sale in the last 12 months. That single transaction was for US$3.2m worth of shares at a price of US$211 each. That means that even when the share price was below the current price of US$389, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 8.5% of R. Matz's holding.

Insiders At EMCOR Group Have Sold Stock Recently

EMCOR Group

Over the last three months, we've seen notably more insider selling, than insider buying, at EMCOR Group. We note insiders cashed in US$3.7m worth of shares. On the other hand we note insider Robert Lind bought US$603 worth of shares , as previously mentioned . Generally this level of net selling might be considered a bit bearish.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. EMCOR Group insiders own 1.2% of the company, currently worth about US$214m based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

While insiders do own a lot of shares in the company (which is good), our analysis of their transactions doesn't make us feel confident about the company.
