Insiders At Landstar System Sold US$9.3m In Stock, Alluding To Potential Weakness

Simply Wall St ·  May 26 22:00

The fact that multiple Landstar System, Inc. (NASDAQ:LSTR) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

Landstar System Insider Transactions Over The Last Year

The Advisor, James Gattoni, made the biggest insider sale in the last 12 months. That single transaction was for US$4.0m worth of shares at a price of US$176 each. That means that even when the share price was below the current price of US$180, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 25% of James Gattoni's holding.

In the last year Landstar System insiders didn't buy any company stock. The chart below shows insider transactions (by companies and individuals) over the last year. By clicking on the graph below, you can see the precise details of each insider transaction!

Insider Ownership Of Landstar System

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. A high insider ownership often makes company leadership more mindful of shareholder interests. Landstar System insiders own about US$50m worth of shares. That equates to 0.8% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Does This Data Suggest About Landstar System Insiders?

There haven't been any insider transactions in the last three months -- that doesn't mean much. Still, the insider transactions at Landstar System in the last 12 months are not very heartening. But it's good to see that insiders own shares in the company. While we like knowing what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
