Suzano Confirms It Is Interested In International Paper Assets

In response to the request presented by B3 through the Official Letter, the Company clarifies that news has been published in the media regarding a potential operation involving Suzano and the International Paper Company ("International Paper"), since May 7, 2024, which appears to have impacted the price and trading volume of its shares. In this regard, the Company disclosed, in compliance with the obligations contained in the Brazilian Corporation Law and CVM Resolution No. 44, as well as in compliance with the Official Letter issued by the CVM, a Relevant Fact and Notice to the Market through which it clarified to shareholders and the market in general that permanently analyzes market opportunities for potential operations, without there being, at that opportunity, any formal document, agreement, act or decision of the Company that could characterize a relevant fact. More recently, new news was published regarding a potential operation between the Company and International Paper on the Reuters1 website, on May 20, 2024. The Company believes that the fluctuation experienced in its shares in the trading session on May 21 of 2024 is probably due to this news.

In any case, considering the occurrence of atypical fluctuation, the Company confirms that it has interest in International Paper's assets and which, however, reiterates that there is, to date, no any agreement, binding or not, nor any decision or deliberation of the governing bodies management of the Company in relation to a potential operation, which contain the minimum materiality necessary to configure a relevant fact. Finally, the Company informs that it carried out the relevant internal investigations and questioned its administrators about the news published in the media before providing this clarification. The Company reiterates its commitment to keeping the market duly informed regarding any relevant information.
