Lifecore Biomedical (LFCR) has provided an announcement.
Lifecore Biomedical’s Board, following the Compensation Committee’s advice, has amended its 2024 Annual Incentive Plan for executive officers James G. Hall and John D. Morberg. Instead of receiving a cash incentive, they will be awarded fully vested, unrestricted common stock, known as Bonus Shares, in line with the 2019 Stock Incentive Plan. The quantity of Bonus Shares will reflect the value of the cash incentive they would have earned, based on the stock’s fair market value. However, this is subject to the availability of shares under the 2019 Plan, and if there aren’t enough, the remaining Bonus Shares will depend on stockholder approval for additional stock allocation.
