Vancouver, British Columbia--(Newsfile Corp. - February 8, 2024) - Atacama Copper Corporation (TSXV: ACOP) ("Atacama Copper" or the "Company") is pleased to announce that the Company has received conditional approval from the TSX Venture Exchange ("TSXV") in respect of its previously announced business combination with TCP1 Corporation (the "Transaction"). In connection with the Transaction and pursuant to TSXV requirements, the Company has filed on SEDAR+ () a filing statement dated February 7, 2024 (the "Filing Statement"), which provides further information concerning Atacama Copper, TCP1 Corporation and the Transaction.

Completion of the Transaction is subject to a number of conditions including, but not limited to, completion of the Consolidation (as defined in the Filing Statement), closing conditions customary to transactions of the nature of the Transaction and final acceptance from TSXV of the Transaction. Subject to certain conditions, as more particularly described in the Filing Statement, completion of the Transaction is anticipated to occur on or about February 9, 2024.
