Vancouver, British Columbia--(Newsfile Corp. - January 12, 2024) - Moovly Media Inc. (TSXV: MVY) (OTCQB: MVVYF) (FSE: 0PV2) ("Moovly" or the "Company") is pleased to announce a non-brokered private placement (the "Private Placement"), raising aggregate gross proceeds of up to $750,000 through the issuance of up to 16,666,667 units (each, a "Unit") at a price of $0.045 per Unit. Each Unit is comprised of one common share in the capital of the Company (a "Common Share") and one common share purchase warrant (a "Warrant"). Each Warrant will entitle the holder to purchase one Common Share at a price of $0.08 per share for a period of 24 months from the date of issuance.

The net proceeds from the Private Placement are expected to be used for general corporate purposes.

All of the securities issued under the Private Placement will be subject to a four month resale restriction. The completion of the Private Placement remains subject to final approval of the TSX Venture Exchange.
