Toronto, Ontario--(Newsfile Corp. - December 15, 2023) - Biosenta Inc. (CSE: ZRO) ("Biosenta" or the "Company") is pleased to announce a non-brokered private placement financing (the "Offering") of 1,250,000 units of the Company (the "Units"), for aggregate gross proceeds of $500,000.

Each Unit will consist of one common share in the capital of the Company and one half of common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle the holder thereof to acquire, subject to adjustment in certain events, one common share in the capital of the Company at an exercise price of $0.80 for a period of 18 months from the closing date of the Offering.

The Company intends to use the net proceeds of the Offering for general corporate purposes.

The closing of the Offering is expected to occur on or about December 22, 2023, or such other date or dates as the Company may determine.

The securities being offered have not been registered under the United States Securities Act of 1933, as amended, and none may be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.

The securities issued pursuant to the Offering shall be subject to a four-month plus one day hold period from the closing date in accordance with applicable Canadian securities laws.
