(CSE: CVGR) (OTCQB: CVGRF) ("City View" or the "Company"), an innovative Canadian-based cannabis-infused edibles manufacturing company, announces that it is undertaking a non-brokered private placement (the "Private Placement") of up to 33,333,334 common shares at a price of $0.015 per share for proceeds of up to $500,000 if the Private Placement is fully subscribed. The shares are being offered to qualified purchasers in reliance upon exemptions from prospectus and registration requirements of applicable securities legislation. A finder's fee in cash and/or non-transferable warrants may be paid to eligible finders in relation to this financing. Proceeds from this financing will be used for general working capital.

Directors and officers of the Company may acquire securities under the Private Placement, which will be considered a "related party transaction" as defined under Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101"). Such participation is expected to be exempt from the formal valuation and minority shareholder approval requirements of MI 61-101.

City View also announces that it has negotiated debt settlements with arm's length creditors pursuant to which it will settle aggregate debt of $164,250, in consideration for which it will issue an aggregate of 10,950,000 common shares at a deemed price of $0.015 per share.

All common shares issued in connection with the Private Placement and the debt settlements will have a hold period expiring 4 months and 1 day after their date of issuance, in accordance with the policies of the CSE and applicable securities laws.
