CloudMD to Acquire MindBeacon in Deal Worth C$116M

CloudMD Software & Services Inc. said Monday that it has agreed to acquire all Toronto-based digital therapy platform developer MindBeacon Holdings Inc. shares in a cash and stock deal valued at around 116 million Canadian dollars, the equivalent of US$92.4 million.

Under the terms of the agreement, the SAAS-based health technology solutions company said it MindBeacon shareholders will exchange their stock for C$1.22 in cash as well as 2.285 common shares of CloudMD, for a total implied price of C$4.78 a share.

The offer price is a 49% premium on the seven-day volume weighted average price as of Nov. 12, the company said.

CloudMD said the combined digital health platform is expected to create immediate cost synergies of more than C$2 million by creating a fully integrated health offering to address mild, moderate acute and chronic mental and physical care.
