Keppel Raises Offer for Singapore Press Holdings

SINGAPORE--Keppel Corp. has raised its offer for Singapore Press Holdings Ltd. to 3.8 billion Singapore dollars (US$2.82 billion), trumping a rival bid supported by a Singapore state investment company.

Under the new offer, SPH's implied value is now S$2.351 per share as against S$2.099 a piece, a statement by both the companies said Wednesday.

Keppel, which has business interests spanning from rig building to properties to infrastructure, is making the offer through a combination of cash and units of Keppel REIT.

Last month, Cuscaden Peak, a consortium of companies affiliated with Temasek Holdings Pte., Hotel Properties Ltd. and Mapletree Investments Pte. Ltd., had proposed to acquire all SPH shares for S$2.10 per share.

"Keppel's final consideration provides SPH shareholders with a compelling offer, with the highest deal certainty and, if the transaction is approved, the fastest payout," Keppel said.

SPH said that it will hold the scheme meeting for shareholders to decide on Keppel's new offer by Dec. 8.

"While we believe that this is an attractive acquisition, Keppel will remain disciplined. We will not acquire SPH at any cost, and have made it clear that this is the final consideration," Keppel Chief Executive Loh Chin Hua said.

Keppel's planned acquisition of SPH's property business also marks its first foray into the student-accommodation market. SPH has student accommodation assets in 18 cities across the U.K. and Germany.
