NRG Energy announced the appointment of Lawrence S. Coben, Ph.D., as President and Chief Executive Officer, effective August 1, 2024. Dr. Coben, who has been serving as Interim CEO since November 2023, will continue in his role as Chair of the Board. His appointment follows a thorough search process and is based on his success in refining strategy and driving execution across the company.Dr. Coben's employment agreement includes an annual base salary of $1,450,000 and eligibility for an annual bonus with a target of 125% of base salary. For fiscal year 2024, he will receive a supplemental equity grant with a target value of $3,300,791. The agreement also outlines severance benefits and includes non-competition and non-solicitation restrictions.In connection with these changes, Anne Schaumburg and Paul Hobby will resign from the Board effective September 30, 2024, reducing its size to 11 members. Antonio Carrillo has been appointed as Lead Independent Director. NRG will discuss its Q2 2024 financial results in a conference call on August 8, 2024.
