The Board of Directors approved changes that designate the Court of Chancery of the State of Delaware as the exclusive forum for certain state corporate law or shareholder derivative claims. Additionally, the federal district courts of the United States will be the exclusive forum for resolving actions asserting claims under the Securities Act of 1933. These amendments are subject to the fullest extent permitted by law and can be altered only if Amazon consents in writing to an alternative forum.
