Innospec Insiders Sell US$6.4m Of Stock, Possibly Signalling Caution
Innospec Insiders Sell US$6.4m Of Stock, Possibly Signalling Caution
The fact that multiple Innospec Inc. (NASDAQ:IOSP) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.
Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.
Innospec Insider Transactions Over The Last Year
The President, Patrick Williams, made the biggest insider sale in the last 12 months. That single transaction was for US$1.2m worth of shares at a price of US$126 each. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$111. So it is hard to draw any strong conclusion from it.

Insider Ownership Of Innospec
Innospec
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Innospec insiders own about US$30m worth of shares. That equates to 1.1% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
