We wouldn't blame T-Mobile US, Inc. (NASDAQ:TMUS) shareholders if they were a little worried about the fact that Raul Claure, the Independent Director recently netted about US$54m selling shares at an average price of US$197. However, that sale only accounted for 7.5% of their holding, so arguably it doesn't say much about their conviction.

The Last 12 Months Of Insider Transactions At T-Mobile US

Notably, that recent sale by Independent Director Raul Claure was not the only time they sold T-Mobile US shares this year. They previously made an even bigger sale of -US$547m worth of shares at a price of US$180 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$197. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 44% of Raul Claure's stake.

Does T-Mobile US Boast High Insider Ownership?

For a common shareholder, it is worth checking how many shares are held by company insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. T-Mobile US insiders own about US$992m worth of shares (which is 0.4% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Does This Data Suggest About T-Mobile US Insiders?

Insiders sold stock recently, but they haven't been buying. And there weren't any purchases to give us comfort, over the last year. But since T-Mobile US is profitable and growing, we're not too worried by this. While insiders do own a lot of shares in the company (which is good), our analysis of their transactions doesn't make us feel confident about the company. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. At Simply Wall St, we found 2 warning signs for T-Mobile US that deserve your attention before buying any shares.
