In the matter between the company and Gaodeng Technology to transfer part of the shares of Zhongke Shiyu, the company is the transferor of part of the shares of Zhongke Shiyu, and Gordon Technology is the transferee of this portion of the shares. The two sides signed the “Share Transfer Agreement” on December 29, 2021. Later, due to the company's failure to reach an agreement with Gaodeng Technology on the subsequent operation and development of Zhongke Shiyu, the two parties agreed to terminate the aforementioned share transfer transaction and signed a “Cancellation Agreement” on January 20, 2022. While the two sides discussed the termination of the equity transfer and subsequent equity transfer, Gaodeng Technology, as the equity transferee, never informed the company of the existence of the equity agency and equity agency agreement mentioned above. The company was unaware of whether there was an equity agency between Gordon Technology and Cao Zhiwei. The relevant personnel involved in the company's equity transfer project had never seen or understood Cao Zhiwei, the equity proxy client mentioned in the above report.
