Patrick L. Donnelly, Executive Vice President, General Counsel and Secretary of Sirius XM, has announced his retirement plan for early 2025. His current employment agreement, which ends on January 2, 2025, will not be renewed.Under a transition letter signed on January 2, 2025, Donnelly will continue as a full-time employee until April 4, 2025, maintaining his current role and compensation until a successor is appointed. Following this, he will serve as an advisor to the General Counsel through December 31, 2025, in a part-time capacity.The agreement includes provisions for severance payments and benefits if terminated without cause during either the full-time or part-time period, subject to executing a release of claims and compliance with restrictive covenants. During the full-time period, Donnelly remains eligible for his existing salary, benefits, and a pro-rated 2025 annual bonus.
