On December 9, 2024, B. Riley Financial and its subsidiary BR Financial Holdings entered into Amendment No. 5 to their Credit Agreement with lenders and Nomura Corporate Funding Americas, LLC as administrative agent. The amendment extends the springing maturity date of term loans to February 3, 2026, if more than $25 million of March 2026 bonds remain outstanding.The amendment also permits an additional $10 million in telecommunications financing under certain conditions. Notably, no fee was charged for this Fifth Amendment. The credit agreement, originally dated August 21, 2023, provides for a $500 million secured term loan facility and a $100 million secured revolving loan facility.
