NRG Energy announced the appointment of Lawrence S. Coben as President and CEO effective August 1, 2024, following his interim role since November 2023. Coben, who will continue as Board Chair, enters with an annual base salary of $1.45M and a target bonus of 125% of base salary. For 2024, he will receive a supplemental RPSU grant valued at $3.3M, while 2025 will see an equity grant target of 825% of base salary.The employment agreement includes severance benefits of 2x base salary for termination without cause (3x base salary plus target bonus if within 24 months of change in control), along with 18 months of COBRA coverage. The agreement also contains standard non-compete and non-solicitation provisions for one year post-employment.In related board changes, Anne Schaumburg and Paul Hobby will resign effective September 30, 2024, reducing board size to 11 members.
