Glonghui October 7 丨Yingjian Medical (01419.HK) announced that on October 11, 2018, the company andHeals Healthcare (Asia) Limited (formerly Heals Healthcare Limited) (“Target Company”)A business alliance agreement was signed. Based on this, the company and the target company agreed to enter into an exclusive strategic alliance to establish and launch a digital medical platform to provide a range of services to medical practitioners, clinics, patients and insurance companies.On October 11, 2018, the subscriber, the company and the target company signed a subscription agreement. According to this, the target company will conditionally distribute and issue them in three batches, while the subscriber will conditionally subscribe to a total of 641,704 shares of the target company.

The company wants to announce that since April 2020, the company and the target company have negotiated revisions to the business alliance agreement and subscription agreement on the rearrangement of the initial KPI calculation period, but the two parties have not reached a consensus. Digitalization, which oversees business operations, is essential to the Group's business development. In order to avoid further delays in the digitalization process, the company began discussions with target companies on terminating business alliance agreements and subscription agreements. On October 7, 2020, the company, the subscriber and the target company signed a termination agreement to (i) terminate the business alliance agreement and subscription agreement on the date of termination of the contract; and (ii) stipulate the sale arrangements for the replacement shares and the first batch of subscribed shares after the termination of such agreements.
