Gelonghui, September 21丨Shenzhen Express (600548.SH) announced that through public listing on the Shenzhen Joint Property Exchange and competitive negotiations, the two strategic investors have been identified as Shanghai Zizhen Investment Management Co., Ltd. (“Shanghai Zizhen”) and Shenzhen Kangrui Dibo Investment Co., Ltd. (“Conrad”). The parties concerned have signed the “Shenzhen Express (Guangzhou) Industrial Investment Fund Management Co., Ltd. Capital Increase Agreement” and the “Shenzhen Express (Guangzhou) Industrial Investment Fund Management Co., Ltd. Constitution”.

Shanghai Zechen and Conradebo competed to increase the capital of the fund company at the price of RMB 1.04083 per registered capital through public transactions at the Shenzhen Joint Property Exchange. Among them, Shanghai Zizhen and Conradebo invested RMB 530.61.41 million and RMB 469.3926 million respectively, holding 26% and 23% of the shares in the fund company after the capital increase, respectively. Both Shanghai Zechen and Congrudibo are investing in cash.

After the capital increase of the fund company is completed, the registered capital will increase from RMB 10 million to RMB 19.6078 million. The company and Shenzhen Jihe Expressway East Section Co., Ltd. (“Ji-Ho East Company”, a wholly-owned subsidiary of the company) remained unchanged at RMB 9.5 million and RMB 500,000 in the registered capital of the fund company. The investment amounts of Shanghai Zechen and Concordibo in the registered capital of the fund company were RMB 5,098 million and RMB 4,5098 million respectively. The total difference between actual investment amount and registered capital of RMB 3922.67 million was included in the fund company's capital reserve.

After the capital increase was completed, the company and Jihedong Company held a total of 51% of the fund company's shares, and the fund company is still the company's controlling subsidiary.
