SenseTime responds.
On March 23rd at noon, $SENSETIME-W (00020.HK)$ The official WeChat account of Technology released a statement stating, "We have noticed the rumors on March 21st regarding the resignation of a certain Executive Director of our company within this week. The company clarifies that, so far, it has not received any resignation letters from any Executive Directors."
Previously, media reports indicated that Xu Bing, co-founder, Executive Director, and Secretary of the Board of Directors of SenseTime, would voluntarily resign from the positions of Secretary of the Board and Executive Director.
Reporters noticed that on March 14th, SenseTime announced the resignation of its Independent Non-Executive Director. The announcement indicated that the company’s Independent Non-Executive Director Li Wei has submitted his resignation due to Other work and Business needs, effective March 15, 2025. After his resignation, Li Wei will no longer serve as the Chairman of the Remuneration Committee and Nominating Committee, nor as a member of the Audit Committee and Corporate Governance Committee.
The announcement stated that after Li Wei's resignation, the company is temporarily unable to comply with relevant listing rules, including having at least three Independent Non-Executive Directors, with Independent Non-Executive Directors accounting for at least one third of the Board of Directors, the Audit Committee must have at least three members, and the majority must be Independent Non-Executive Directors, the Remuneration Committee chaired by an Independent Non-Executive Director with the majority being Independent Non-Executive Directors, and the Nominating Committee chaired by an Independent Non-Executive Director with the majority being Independent Non-Executive Directors, etc. SenseTime stated in the announcement that the Board of Directors is currently looking for suitable candidates to fill the vacancies and will ensure: (i) to appoint an Independent Non-Executive Director; (ii) to make appropriate changes to the composition of the Board Committees within three months after the date of this announcement to ensure compliance with the aforementioned listing rules.
The company's announcement on the same day, "List of Directors and Their Responsibilities," shows that the company's executive directors include Xu Li, Wang Xiaogang, Xu Bing, and Lin Dahua.
According to Wind data, SenseTime will disclose its full-year results for 2024 on March 26. In the first half of 2024, SenseTime achieved revenue of 1.74 billion yuan, a year-on-year increase of 21%, among which the revenue from generative AI business reached nearly 1.1 billion yuan, a significant year-on-year growth of 256%, accounting for 60% of the company's total revenue.
According to Interface News, in December 2024, Xu Li, Chairman and CEO of SenseTime, released a letter to all employees announcing the end of the organizational adjustment and the launch of the new structure "1+X." Here, "1" represents core businesses such as AI cloud and general visual models, and "X" represents the ecological enterprise matrix resulting from the restructuring, including the Smart Automobile "Jueying," home robot "Yuanluobo," smart medical, smart retail, and more. Each ecological enterprise will have an independent CEO and be responsible for business development.
