AIAI Group <6557> has established a management philosophy of "solving social issues and contributing to society," and as part of its pre-school child-related business, it offers integrated services in child care, therapy, and education across Tokyo, Chiba Prefecture, Kanagawa Prefecture, and Osaka Prefecture, maximizing the synergy effects of these three businesses through the 'AIAI Three育圏'.
The company's headquarters is located in Kinshi, Sumida-ku, Tokyo. As of the end of the second quarter of the fiscal year ending March 2025, the total assets amount to 11,103 million yen, total net assets are 2,536 million yen, and the equity ratio is 22.7%. Regarding the number of issued common stock, a stock split was conducted at a ratio of 2 shares for every 1 share of common stock on October 1, 2024, assuming that this stock split occurred at the beginning of the previous period, resulting in a total of 6,554,762 shares (including 2,766 treasury shares).
The group consists of the company (holding company) and two consolidated subsidiaries (AIAI Child Care Inc. and CHaiLD Inc.). In October 2024, AIAI Child Care will conclude a stock transfer agreement with Teruwell East Japan Inc. AIAI Child Care is scheduled to acquire all shares of PokoKoro Inc., which was established by Teruwell East Japan for the purpose of succeeding the child care business, as of April 1, 2025. Furthermore, regarding AIAI Life Care Inc., which operates nursing care, shares were transferred to the QLS Holdings <7075> group in May 2024. In addition, in December 2024, a basic agreement was announced regarding the acquisition of all shares of Berry Inc., which operates management and administration of childcare facilities in Yokohama, Kanagawa Prefecture.
2. History
In January 2007, Global Bridge Inc. was established in Shin-Koiwa, Katsushika-ku, Tokyo, to operate child care and nursing care businesses, and the child care business commenced in March of the same year. In July 2011, the child care facility management system "Child Care System" was developed in-house. In November 2015, the holding company Global Bridge Holdings was established, and in October 2017, the headquarters was relocated to its current location. In January 2022, the company name was changed to the current AIAI Group (the names of subsidiary companies were also changed).
After transitioning to a holding company, M&A and group reorganization were conducted, establishing Global Bridge as a consolidated subsidiary in December 2015 (now AIAI Child Care), and splitting off the tech business from Global Bridge to establish Social Solutions Inc. (now CHaiLD). In July 2018, Tokyo Life Care was wholly acquired (later merged into Global Bridge in April 2020) to start the operation of serviced residences for the elderly. In November 2018, YUAN Inc. was wholly acquired (later renamed AIAI Life Care) to commence the operation of residential paid nursing homes, and in May 2024, shares of AIAI Life Care were transferred.
In relation to Stocks, listed on the Tokyo Stock Exchange (hereinafter, TSE) TOKYO PRO Market in October 2017, listed on the TSE Mothers Market in December 2019, and transitioned to the Growth Market due to the market classification review of the TSE in April 2022.
