受让方与公司控股股东、实际控制人及其一致行动人之间不存在关联关系。本次权益变动不存在控股股东、实际控制人及其一致行动人直接或间接向受让方提供资金资助的情形，不存在利润分成或最低收益保障的情形。本次权益变动不会导致公司控股股东及实际控制人发生变化。

There is no related relationship between the Transferee and the company's controlling shareholder, actual controller, and their concerted action persons. There are no circumstances in which the controlling shareholder, actual controller, and their concerted action persons directly or indirectly provide financial assistance to the Transferee in this equity change, nor is there any profit-sharing or minimum return guarantee. This equity change will not result in a change in the company's controlling shareholder and actual controller.
