On the 20th, MicroAd <9553> announced that it had resolved matters related to Share Buyback at the board of directors meeting held on the same day, based on the provisions of Article 156 of the Companies Act, as applied through Article 165, Paragraph 3 of the same act.

At the shareholders' meeting scheduled for December 20, 2024, the agenda regarding "the reduction of capital reserve and the disposal of other capital surplus" was approved. This allows the company to secure funding for shareholder returns such as Share Buyback, enabling the implementation of returns to shareholders that had not been realized until now.

Considering that the company’s stock price is currently trading at a low level compared to its potential value, a resolution was made to acquire its own shares to return profits to shareholders and improve capital efficiency, as well as to utilize stock compensation for Company Executives and employees, and to prepare for agile capital strategies in the future, such as using its own shares for M&A and capital business alliances.

The total number of shares that can be acquired is 600,000 shares (maximum) (representing 2.17% of the total issued shares, excluding treasury stock), with the acquisition period from January 6, 2025, to June 30, 2025. The total acquisition value of the shares is 0.15 billion yen (maximum). The acquisition method is market purchases through a discretionary investment account with a securities company.

The schedule related to the reduction of capital reserve and the disposal of other capital surplus is that the final date for creditor objections is set for December 25, 2024 (planned), and the effective date is planned for December 31, 2024. As of November 30, 2024, the status of treasury stock holdings is 27,707,736 shares of total issued shares (excluding treasury stock), with 264 shares being treasury stock.
