On December 17, Gelonghui reported that Shenzhen Nanshan Power (000037.SZ) announced that as of April 2021, Zhuozhi Fund had cumulatively acquired 49,435,028 shares of Zhongsheng Technology (Jiangsu) Group Co., Ltd. (referred to as "Zhongsheng Technology"), accounting for 5.6% of the total shares of Zhongsheng Technology. To streamline management levels and optimize investment structure, on December 16, 2024, the company signed a "Share Transfer Agreement" with Zhuozhi Fund, using the book value of its total shares of Zhongsheng Technology, which amounted to 140 million yuan as of September 30, 2024, as the transaction price, to acquire the shares held by Zhuozhi Fund. On the same day, to enrich the capital of its wholly-owned subsidiary Shenzhen New Electricity Industry Co., Ltd. (referred to as "New Electricity Company"), and to promote the implementation of its development strategy, the company signed a "Share Transfer Agreement" with New Electricity Company, transferring the aforementioned shares to New Electricity Company. Upon completion of this share transfer, New Electricity Company will hold 49,435,028 shares of Zhongsheng Technology, accounting for 5.6% of the total shares of Zhongsheng Technology. Given that Zhuozhi Fund currently does not have any other investments apart from holding 5.6% of Zhongsheng Technology, it intends to liquidate and deregister after the transfer is completed.
