EMCOR Group Insiders Sell US$4.7m Of Stock, Possibly Signalling Caution

Many EMCOR Group, Inc. (NYSE:EME) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At EMCOR Group

Over the last year, we can see that the biggest insider sale was by the Chairman, Anthony Guzzi, for US$1.9m worth of shares, at about US$320 per share. That means that even when the share price was below the current price of US$479, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 2.6% of Anthony Guzzi's holding.

Does EMCOR Group Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. EMCOR Group insiders own 1.2% of the company, currently worth about US$266m based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

There haven't been any insider transactions in the last three months -- that doesn't mean much. While we feel good about high insider ownership of EMCOR Group, we can't say the same about the selling of shares.
