The actual controller of the company, Zhongyan Group, issued a "Commitment Letter on Regulating and Avoiding Competition" regarding the company's major Assets restructuring matters in 2019. Considering that the Assets involved in the competition by Zhongyan Hongsifang do not meet the conditions for injection into the listed company, Zhongyan Group intends to extend the performance period for commitments related to regulating and avoiding competition and has recently issued a supplementary commitment regarding the commitment matters. According to the relevant arrangements outlined in the latest "Commitment Letter on Regulating and Avoiding Competition" issued by Zhongyan Group, in order to effectively avoid competition, the company plans to sign a "Product Sales Right Custody Agreement" with Zhongyan Hongsifang, stipulating that the company will manage the sales rights of soda ash, ammonium chloride, synthetic ammonia, and caustic soda products of Zhongyan Hongsifang and its holding enterprises at all levels, with Zhongyan Hongsifang paying management fees to the company as consideration for management services, with a management period of four years and a custody fee of 0.006 million yuan per year.
