(referred to as "Industry Research Company"), which signed a partnership agreement with Xinshi Libaoshu Private Equity Co., Ltd. (referred to as "Xinshi Libaoshu"), CHINA CINDA Asset Management Co., Ltd. (referred to as "CHINA CINDA"), and Yichang High-tech Capital Investment Management Co., Ltd. (referred to as "Yichang High-tech Capital") for the Wuhu Xinfude Private Equity Partnership (Limited Partnership). The partnership agreement stipulates that the Industry Research Company will act as the general partner and one of the executing partners of the partnership enterprise, and matters related to Humanwell Healthcare's equity management will be decided by the Industry Research Company. Yichang Investment Group indirectly holds 59,829,636 voting rights through Wuhu Xinfude Private Equity Partnership (Limited Partnership) (referred to as "Wuhu Xinfude"), accounting for 3.67% of the total voting shares of the company. After this equity change, Yichang Investment Group will hold a total of 201,597,643 voting rights, representing 12.35% of the total voting shares of the company, which does not trigger a mandatory takeover. This equity change will not lead to a change in the company's controlling shareholder or actual controller.
