On December 12, 2024, China CITIC Financial Holdings signed a "Share Transfer Agreement (MetalLink)" with its concerted actors, MetalLink and FortuneClass, regarding the share transfer of China CITIC Bank Corporation. China CITIC Financial Holdings intends to acquire, through agreements, all of the 285,186,000 H shares held by MetalLink (accounting for 0.53% of the current total share capital) and all of the 10,313,000 H shares held by FortuneClass (accounting for 0.02% of the current total share capital).
Before the completion of this share transfer, China CITIC Financial Holdings held 35,732,894,412 shares (including 33,264,829,933 A shares and 2,468,064,479 H shares), accounting for 65.87% of the current total share capital; China CITIC Financial Holdings and its concerted actors together held 36,610,129,412 shares (excluding China CITIC Financial Holdings, China CITIC Limited held 581,736,000 shares, MetalLink held 285,186,000 shares, and FortuneClass held 10,313,000 shares), accounting for 67.48% of the current total share capital. After the completion of this share transfer, China CITIC Financial Holdings will hold 36,028,393,412 shares (including 33,264,829,933 A shares and 2,763,563,479 H shares), accounting for 66.41% of the current total share capital; the total number of shares and shareholding ratio held by China CITIC Financial Holdings and its concerted actors will remain unchanged, and MetalLink and FortuneClass will no longer hold shares in the bank, thus no longer forming a concerted action relation with China CITIC Financial Holdings.
This change in equity involves the transfer of H shares of the bank between China CITIC Financial Holdings and its concerted actors, which will not result in a change in the total number of shares and shareholding ratio held by China CITIC Financial Holdings and its concerted actors, nor will it lead to a change in the controlling shareholder or actual controller of the bank.
