CHEVALIER INT'L (00025.HK) has reached an asset sale agreement with SE Stark for a total price of 35 million USD, involving real estate and multiple facilities.

On December 11, Gelonghui reported that CHEVALIER INT'L (00025.HK) announced an asset purchase agreement between OR4 Laurelhurst (a wholly owned subsidiary indirectly held by the company) and SE Stark on December 10, 2024, whereby OR4 Laurelhurst has agreed to sell and SE Stark has agreed to purchase the transferred assets for a total consideration of 35 million USD (equivalent to approximately 0.273 billion HKD).

The transferred assets include: (a) the permanent property of the real estate and adjacent real estate where Laurelhurst Village, 3060 SE Stark St., Portland, OR 97214, U.S. ("the facility") is located (collectively referred to as "the property"); (b) all buildings, structures, fixtures, building systems, and equipment included in the property, as well as all components thereof, including the security and monitoring systems owned and installed by OR4 Laurelhurst at the property, and the telecommunications, computer, wiring, and cabling installations owned and installed by OR4 Laurelhurst at the property (collectively referred to as "improvements"); (c) all rights, title, and interests of OR4 Laurelhurst to the alleyways, narrow strips, or triangular areas adjacent to the property, as well as all other appurtenances, rights, and privileges related to the property and improvements owned by OR4 Laurelhurst (collectively referred to as "appurtenances"); (d) all Furniture, fixtures, decorations, and equipment owned by OR4 Laurelhurst located within the facility, as well as any other tangible personal property items owned by OR4 Laurelhurst for the ownership, leasing, and maintenance of the property and the facility (collectively referred to as "tangible personal property"); (e) all licenses, permits, approvals, and required certificates (or equivalent) owned or held by OR4 Laurelhurst that are necessary for owning and leasing the facility, whenever such rights can be assigned according to applicable laws; (f) all rights, title, and interests of OR4 Laurelhurst regarding any architect and engineer plans and specifications related to the facility; (g) the vehicles specifically identified in the asset purchase agreement; (h) all rights, title, and interests of OR4 Laurelhurst in any trademark names related to the operation of the facility (including but not limited to "Laurelhurst Village" and "Laurelhurst Terrace"); and (i) any and all other intangible personal property items owned by OR4 Laurelhurst for the ownership, leasing, and maintenance of the property and the facility (items (e) to (i) collectively referred to as "Other").
