① jd.com logistics plans to acquire the remaining 36.43% equity of Kuayue Express, with a total consideration not exceeding 6.48 billion yuan; ② Kuayue Express primarily focuses on B-end enterprise customers, and its aviation resources and trunk network serve as a strategic complement for jd.com logistics to expand its B-end market.

According to the "Star" Daily on December 6 (Reporter Huang Xinyi), jd.com logistics announced today on the Hong Kong Stock Exchange that it intends to acquire the remaining 36.43% equity of Kuayue Express, with a total consideration not exceeding 6.48 billion yuan.

It is reported that Kuayue Express is a non-wholly-owned subsidiary of jd.com logistics, which holds approximately 63.57% equity. After the third phase of delivery, jd.com logistics will hold 100% equity of Kuayue Express.

Founded in 2007, Kuayue Express has three major time-sensitive products: same-day delivery, next-day delivery, and day-after delivery, as well as service models such as same-city same-day, same-city next-day, land transportation, fresh express delivery, and international business. The company has over 70,000 employees, more than 28,000 self-owned transportation vehicles, and an average daily parcel volume exceeding 54,000 tons.

It is understood that jd.com logistics and Kuayue Express have further reached a comprehensive strategic partnership. After this cooperation, Kuayue Express will continue to operate its brand and team independently, with founder Hu Haijian remaining as chairman and CEO of Kuayue Express, responsible for the company's daily operations, while the strategy and main business will remain unchanged.

As early as 2020, jd.com logistics reached a strategic cooperation with Kuayue Express. In August 2020, jd.com announced that jd.com logistics would acquire current shares of Kuayue Express for 3 billion yuan and subscribe for newly issued shares of Kuayue Express. At that time, jd.com's strategic investment platform, jd.com Bohai, acquired 55.1% equity of Kuayue Express.

In November 2021, jd.com logistics was fined 0.5 million yuan by the market supervision administration for violating the Anti-Monopoly Law in the acquisition of Kuayue Express shares. Subsequently, in May 2022, jd.com logistics took action again to acquire shares of Kuayue Express. According to the Tianyancha APP, jd.com logistics currently holds 63.57% equity of Kuayue Express.

Kuayue Express primarily focuses on B-end enterprise customers, and its aviation resources and trunk network are a strategic complement to jd.com logistics' expansion in the B-end market. It is understood that Kuayue Express owns 13 cargo aircraft, including Boeing B-757 freighters, and has established strategic partnerships with more than ten major domestic airlines, including Air China, China Southern Airlines, and China Eastern Airlines. Acquiring Kuayue Express will help jd.com logistics fill gaps in its ecological layout and seize market share in the industry.

Zhuang Shuai, a guest consultant of the China Chain Operation Association and an expert in the retail e-commerce industry, stated to the Star Daily that for jd.com logistics, the key point is to solidify a complete logistics system, including small parcel logistics, large parcel logistics, and cold chain logistics. In the aspects of 2C and 2B business, self-establishment and acquisition are promoted respectively. Additionally, expanding express delivery overseas is also one of the important development directions for jd.com logistics.

Reporters from the Star Daily noted that in the past month, jd.com Express International has launched delivery services in more than 30 countries globally, expanding its business reach to countries in Oceania, South America, and North America. jd.com logistics plans to achieve over 100% growth in global overseas warehouse space by the end of 2025, while also constructing more bonded warehouses and direct shipping warehouses, further enhancing the coverage of international express delivery. It is expected that consumers in nearly 80 countries globally will be able to receive jd.com Express from china within this year.
